Talents Royale Participation Agreement

1. Eligibility Requirements

Participation in Talents Royale is open to individuals of all ages and from any country worldwide. By entering, participants affirm that:

• They have the legal capacity to participate in accordance with the laws of their country of residence.
• If under the age of 18, they have obtained verifiable consent from a parent or legal guardian.
• They agree to abide by all platform rules, including video submission guidelines, voting protocols, and community standards.
• They understand that all disputes will be governed by the laws of the State of Georgia, USA, and resolved in Henry County.
• They are responsible for any tax obligations, customs duties, or legal restrictions in their home country related to participation or prize receipt.

2. Performance Expectations

Participants must follow tier-based performance guidelines, including video duration limits, content standards, and submission protocols. All acts must reflect the values of Talents Royale and comply with safety, decency, and platform rules.

3. Code of Conduct

Talents Royale is committed to fostering a safe, inclusive, and respectful environment for all participants, judges, and audience members. By participating, you agree to uphold the following standards:

• Respectful Behavior: Treat all individuals—online and offline—with dignity and professionalism. Harassment, bullying, hate speech, or discriminatory remarks based on race, gender, religion, nationality, disability, or identity will not be tolerated.
• Content Restrictions: Submissions must not contain pornographic, sexually explicit, violent, or otherwise offensive material. This includes nudity, sexual gestures, or suggestive attire in performance videos or profile content.
• Fair Play: Cheating, vote manipulation, impersonation, or use of bots is strictly prohibited.
• Community Integrity: Spamming, trolling, or disruptive behavior in forums, comment sections, or during live events may result in disqualification or permanent removal.
• Compliance: Participants must follow all platform rules, including video formatting, submission deadlines, and arena-specific guidelines.
• Violations of this Code of Conduct: Violations of this Code of Conduct may result in immediate disqualification, removal from the platform, or permanent bans without refund.

4. Usage Rights

By submitting content, participants grant Talents Royale a non-exclusive, royalty-free license to use, reproduce, distribute, and display their name, likeness, and performance across all media formats for promotional, archival, and commercial purposes.

5. Liability Waivers

Participants acknowledge all risks associated with their involvement, including digital submissions, public exposure, and competition outcomes. Talents Royale is not liable for injuries, damages, or losses incurred during participation or platform use.

6. Terms of Service & Privacy Policy

All users must agree to Talents Royale's Terms of Service and Privacy Policy, which govern data collection, usage, and participant rights. These documents ensure transparency and compliance with applicable data protection laws.

7. Non-Disclosure Agreement (NDA)

Participants may be exposed to confidential information, including judging criteria, platform algorithms, or proprietary systems. All such information must remain confidential and may not be disclosed without written consent.

8. Independent Contractor Agreements

Performers and collaborators are considered independent contractors. Agreements will define scope of work, compensation, deliverables, and termination clauses. Participation does not imply employment or guaranteed compensation.

9. Legal Disclaimers

Talents Royale reserves the right to modify, cancel, or reschedule events. Participation does not guarantee advancement, exposure, or monetary reward. All decisions by judges or organizers are final.

10. Client Contracts & Service Agreements

Professionals hired for services (e.g., videography, coaching, consulting) will enter into formal agreements outlining deliverables, timelines, payment terms, and intellectual property ownership.

11. Licensing & Intellectual Property Agreements

All original content created for or during Talents Royale events remains the property of the creator unless otherwise agreed. Licensing agreements govern the use of logos, music, scripts, and branded materials.

12. Supplier Agreements

Vendors providing equipment, merchandise, or services must sign supplier agreements detailing logistics, delivery terms, liability, and payment schedules.

13. Memorandum of Understanding & Incorporation

Partnerships and collaborations will be formalized through Memoranda of Understanding (MOUs) or Incorporation documents, defining roles, responsibilities, and shared objectives.

14. Consignment Agreement

Merchandise or products sold through Talents Royale platforms or events will be governed by consignment agreements, specifying revenue splits, inventory management, and return policies.

15. Software as a Service (SaaS) Agreement

If digital tools or platforms are used (e.g., for voting or submissions), SaaS agreements will define licensing, uptime guarantees, data handling, and user responsibilities.

16. End User License Agreement (EULA)

Participants using Talents Royale's digital services must agree to the EULA, which governs access, usage rights, and restrictions related to proprietary software or platforms.

17. Contest Rules Addendum

A public-facing Contest Rules Addendum outlines:

• Tier-based video durations and file formats
• Arena structure and membership tiers
• Voting procedures and leaderboard visibility
• Tie-breaking protocols (Conundrum Rounds and Ranked-Choice Voting)
• Final decision authority (Mr. B)

18. DMCA Policy

Talents Royale maintains a DMCA policy to comply with U.S. copyright law. Participants may file or respond to takedown notices regarding user-submitted content. This protects both creators and the platform from third-party infringement claims.

19. Dispute Resolution

Any disputes arising from participation shall first be resolved through good-faith mediation. If unresolved, disputes will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The governing law shall be the State of Georgia, and venue shall be in Henry County, GA.

20. Change in Terms

Talents Royale reserves the right to update the Participation Agreement. Participants will be notified of material changes, and continued involvement signifies acceptance of revised terms.

21. Winner Verification & Payouts

This section outlines the mandatory verification process for all prize winners before funds or rewards are released. The purpose of verification is to ensure fairness, compliance, and secure distribution of prizes. By participating, users agree to the following:

• Identity Confirmation: Winners must provide accurate personal details (name, country of residence, age) matching their registered account. Talents Royale may request government-issued identification to confirm eligibility.
• Payment Information: Winners must submit valid payout details via the official Talents Royale verification form within seven (7) business days of notification. Accepted methods include PayPal Business (default), international bank transfer, or other approved services.
• Non-Compliance: Failure to provide complete and accurate verification within the stated timeframe may result in forfeiture of prizes. In such cases, Talents Royale reserves the right to award the prize to the next eligible contestant.
• Data Security: All verification information will be collected and stored securely in accordance with Talents Royale's Privacy Policy. Sensitive financial details will only be used for prize distribution and will not be shared with third parties.
• Final Authority: Talents Royale retains sole discretion to approve or deny verification submissions. Decisions regarding eligibility and payout are final and binding.

22. Platform Ecosystem

Talents Royale operates both an official website and an official Discord community under the same brand umbrella. While affiliated, they are distinct entities with separate functions.

• Website: It serves as the primary competition platform, governing submissions, voting, leaderboards, payouts, and official contest rules.
• Discord Community: Functions as a supplemental space for updates, mini-events, and participant interaction. Participation in Discord is optional and subject to its own community guidelines. All official contest outcomes, prize distributions, and dispute resolutions are determined solely through the Talents Royale website. Discord engagement is encouraged but does not override or replace the rules and authority of the website.
